Terms of Service
These terms govern your use of Carton, a Mac CRM made by Capralis, Inc. (“Capralis,” “we,” “us”). By creating an account or using Carton, you agree to them. We've kept them short and readable on purpose; if anything is unclear, ask us before relying on your interpretation.
1. Beta software
Carton is currently in beta. That means features may change or be removed, things will occasionally break, and — despite our care — bugs could cause data loss. Keep independent copies of anything you can't afford to lose (your email and calendar are already safe by architecture: they live with your providers, not with us). We may suspend, limit, or modify the service during beta with little or no notice.
2. Your account
- Provide accurate information and keep your credentials secure. You're responsible for activity under your account.
- Accounts are per-person. Team plans license a number of seats; don't share one seat among multiple people.
- You must be at least 16 to use Carton.
3. Acceptable use
Don't use Carton to break the law, and don't break Carton. Specifically, you agree not to:
- send spam or unlawful email through your connected accounts — you are responsible for the messages you (or the AI, at your direction and with your confirmation) send, including compliance with applicable email and marketing laws;
- attempt to access other users' or teams' data, probe or overload our infrastructure, or circumvent usage limits;
- resell, sublicense, or provide Carton as a service to third parties;
- use the AI features to generate unlawful, deceptive, or harmful content.
4. Your data
Your CRM data belongs to you and your team. You grant us the limited license needed to host, process, and display it — solely to provide the service. Our Privacy Policy describes exactly what we store, what never touches our servers, and how AI features access data. On request, we'll export your data in a portable format.
5. AI features
Carton's AI assistant can read data you've enabled and take actions you confirm. Your use of AI features is also governed by the AI Acceptable Use policy you accept in-app. Two things to understand:
- AI output can be wrong. Review AI-drafted content — especially outbound email — before approving it. Actions the AI proposes (sending, deleting) require your explicit confirmation, and the confirmed action is yours.
- Usage is metered. Each plan includes a monthly command allowance; we may throttle or decline requests past it.
6. Fees
Beta pricing and paid plans are described at purchase. Subscriptions are billed through our payment processor; taxes may apply. We'll give at least 30 days' notice before price changes affect an existing subscription. Fees are non-refundable except where required by law or stated otherwise.
7. Intellectual property
Carton, its design, and its code are ours. Feedback you send us may be used to improve the product without obligation to you. Nothing in these terms transfers ownership of your data to us, or of Carton to you.
8. Termination
You can stop using Carton and delete your account at any time (see the Privacy Policy for deletion). We may suspend or terminate accounts that violate these terms, create security risk, or — during beta — as part of winding down or reshaping the program, in which case we'll give reasonable notice and a window to export your data.
9. Disclaimers
Carton is provided “as is,” without warranties of any kind, express or implied — including fitness for a particular purpose and non-infringement. This is beta software; Section 1 is not boilerplate.
10. Limitation of liability
To the maximum extent permitted by law, Capralis will not be liable for indirect, incidental, special, or consequential damages, or lost profits, revenue, or data. Our total liability for any claim is capped at the greater of $50 or the amount you paid us in the twelve months before the claim arose.
11. Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that state.
12. Changes
We may update these terms as Carton evolves. Material changes will be announced in the app or by email at least 14 days before taking effect; continued use after that constitutes acceptance.
